CTH Handy provides computer systems design and related services within the Professional, Scientific, and Technical Services sector. Our services include but are not limited to:

• Custom software architecture assessment and design

We reserve the right to modify, suspend, or discontinue any aspect of our services at any time with reasonable notice to you. We are not liable to you or any third party for any modification, suspension, or discontinuation of services.

3. Eligibility

You must be at least 18 years of age and capable of forming a legally binding contract under applicable law to use our services. 5. Payment Terms

5.1 Fees

Certain services offered by CTH Handy may require payment. All fees are stated in United States Dollars unless otherwise specified. Fees are subject to change upon 30 days written notice to you. Continued use of a paid service after a fee change constitutes your acceptance of the new fee.

5.2 Invoicing and Payment

Invoices are issued according to the terms specified in the individual service agreement or statement of work. Payment is due within 30 calendar days from the invoice date unless otherwise agreed in writing. Late payments may incur interest at the rate of 1.5 percent per month, or the maximum rate permitted by law, whichever is lower.

5.3 Taxes

You are responsible for all applicable taxes, including sales, use, value-added, and other taxes associated with your use of our services, except for taxes based on our net income.

6. Intellectual Property

6.1 Our Intellectual Property

All content, materials, software, designs, text, graphics, logos, icons, and the selection and arrangement thereof available on the website and through our services are the proprietary property of CTH handyman LLC, its licensors, or other providers and are protected by United States and international copyright, trademark, and other intellectual property laws.

The trademarks, service marks, and logos displayed on the website are registered and unregistered trademarks of CTH Handy and third parties. Nothing on the website shall be construed as granting any license or right to use any trademark without the prior written permission of the trademark owner.

7.3 Enforcement

8. Termination

8.1 Termination by You

You may terminate your account or stop using the services at any time by discontinuing access to the website and providing written notice to us at guide@cthhandy.mom. Termination of your account does not relieve you of any payment obligations accrued prior to the effective date of termination.

8.2 Termination by Us

We reserve the right to suspend or terminate your access to the services, with or without cause and with or without notice, including without limitation if we reasonably believe that you have violated these Terms. Upon termination, your right to use the services shall immediately cease.

8.3 Survival

All provisions of these Terms which by their nature should survive termination shall survive termination, including ownership provisions, warranty disclaimers, indemnity obligations, and limitations of liability.

THE SERVICES ARE PROVIDED ON AN AS IS AND AS AVAILABLE BASIS WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. TO THE FULLEST EXTENT PERMITTED BY LAW, CTH HANDYMAN LLC DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, AND ANY WARRANTIES ARISING FROM COURSE OF DEALING, COURSE OF PERFORMANCE, OR USAGE OF TRADE.

CTH Handy does not warrant that the services will be uninterrupted, error-free, secure, or free of viruses or other harmful components. We do not make any warranties regarding the accuracy, completeness, reliability, or timeliness of any content, data, or information provided through the services.

9.2 Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL CTH HANDYMAN LLC, ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, OR AFFILIATES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, LOSS OF DATA, LOSS OF GOODWILL, BUSINESS INTERRUPTION, OR PERSONAL OR PROPERTY DAMAGE, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF THE SERVICES, WHETHER BASED ON WARRANTY, CONTRACT, TORT (INCLUDING NEGLIGENCE), STRICT LIABILITY, OR ANY OTHER LEGAL THEORY, EVEN IF CTH HANDY HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

9.3 Cap on Liability

IN NO EVENT SHALL THE AGGREGATE LIABILITY OF CTH HANDYMAN LLC EXCEED THE GREATER OF ONE HUNDRED U.S. DOLLARS (USD $100.00) OR THE AMOUNT YOU HAVE PAID CTH HANDY IN THE TWELVE MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM. THE LIMITATIONS OF DAMAGES SET FORTH ABOVE ARE FUNDAMENTAL ELEMENTS OF THE BASIS OF THE BARGAIN BETWEEN CTH HANDY AND YOU.

12.2 Dispute Resolution

Any dispute, claim, or controversy arising out of or relating to these Terms or the breach, termination, enforcement, interpretation, or validity thereof shall be determined by binding arbitration administered by the American Arbitration Association in accordance with its Commercial Arbitration Rules. The arbitration shall take place in Uintah County, Utah, before a single arbitrator. Judgment on the award rendered by the arbitrator may be entered in any court having jurisdiction thereof.

12.3 Class Action Waiver

YOU AND CTH HANDY AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN YOUR OR ITS INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS OR REPRESENTATIVE PROCEEDING. Unless both you and CTH Handy agree otherwise, the arbitrator may not consolidate more than one persons claims and may not otherwise preside over any form of a representative or class proceeding.
